Position / Vacancies:
- Legal Associate — Investments / Structured Finance / Special Situations
Eligibility Criteria:
- LL.B. from a recognized university; LL.M. preferred but not mandatory
- 2–4 years of post-qualification experience, preferably from a reputed law firm handling investment, banking, or restructuring mandates
- Strong understanding of the Companies Act, Contract Law, and Insolvency & Bankruptcy Code (IBC)
- Prior exposure to Special Opportunities Funds, AIFs, or distressed asset transactions is advantageous
- Excellent drafting, analytical, and communication skills
- Ability to work independently, manage timelines, and coordinate across cross-functional teams
Key Responsibilities:
- Draft, review, and negotiate transactional and commercial documentation — including debenture trust deeds, investment and settlement agreements, and security documents
- Support in structuring and executing special situation / distressed asset investments and Special Opportunities Fund transactions
- Assist in IBC-related matters, including reviewing pleadings, coordinating with counsel, and tracking litigation
- Conduct legal due diligence and prepare risk assessments and transaction summaries
- Liaise with external counsels, consultants, and regulatory authorities
- Provide legal support for compliance, corporate governance, and portfolio documentation
- Maintain transaction trackers, internal legal notes, and documentation archives
