Position:

• Associate – Corporate Practice
• Senior Associate – Corporate Practice

Practice Area:

Experience:

• Associate: 2–3 years of relevant experience
• Senior Associate: 3–5 years of relevant experience
• Designation will be based on relevant experience

Eligibility:

• LL.B. from a recognised law school
• LL.M. or specialisation in Corporate/Commercial Law is an advantage
• Strong understanding of the Companies Act, FEMA, SEBI regulations, and general corporate-commercial laws
• Experience in drafting and negotiating SHA, SSA, SPA, term sheets, and commercial agreements
• Experience in due diligence, transaction structuring, and regulatory compliance
• Familiarity with the start-up ecosystem, cap tables, ESOPs, and fund investments is preferred
• Ability to conduct comprehensive legal research and prepare legal opinions
• Strong communication and client management skills

Key Responsibilities:

• Draft and review investment documents, shareholder agreements, commercial contracts, and other transaction documents
• Conduct legal research on corporate, regulatory, and data privacy laws
• Advise on private equity, venture capital investments, fund-related matters, and M&A transactions
• Assist in legal due diligence, transaction structuring, and regulatory compliance
