Location / Mode:
Delhi NCR / Mumbai (On-site with flexibility for remote work as per policy)

Position:

  • Senior Associate (SA1 & SA2) – General Corporate & M&A

Experience:

  • SA1: 4–5 years PQE
  • SA2: 5–6 years PQE

Eligibility Criteria:

  • LL.B. / integrated law degree from a recognized university
  • Enrolled with a State Bar Council in India
  • Strong experience in corporate law, M&A, PE/VC (law firm or in-house)
  • Knowledge of Companies Act and FEMA
  • Experience in drafting transaction documents (SPA, SSA, SHA, JV agreements)
  • Experience in legal due diligence and corporate advisory
  • Familiarity with SEBI, AIF regulations, IP, and data privacy (preferred)
  • Strong research, drafting, and communication skills
  • High attention to detail and ownership mindset

Key Responsibilities:
Transaction Execution & Management (M&A / PE / VC):

  • Execute and manage transactions including investments, acquisitions, and joint ventures
  • Conduct and supervise legal due diligence
  • Draft and negotiate transaction documents (SPA, SSA, SHA, JV agreements, etc.)
  • Assist in structuring deals under Companies Act, FEMA, and sectoral laws
  • Coordinate with clients, counterparties, and advisors for deal closure

General Corporate & Regulatory Advisory:

  • Advise on corporate law matters (governance, RPTs, securities, ESOPs, restructuring)
  • Support FEMA and foreign investment compliance
  • Draft and review commercial contracts (NDAs, service agreements, etc.)
  • Prepare legal opinions, notes, and advisory communications

Client & Team Responsibilities:

  • Act as a point of contact for clients
  • Guide and review work of junior associates
  • Support partners in matter management and strategy
  • Contribute to business development and thought leadership
