Position:

Experience:

  • Minimum 5 years of post-qualification experience (PQE) in General Corporate Advisory, PE/VC transactions, and M&A matters

Eligibility:

  • Minimum 5 years of PQE in General Corporate Advisory, PE/VC, and M&A matters
  • Prior experience in term sheet negotiations, SSA, and SHA discussions is essential
  • Proven ability to independently handle investor-side and company-side transactions
  • Exceptional legal research, drafting, and analytical skills
  • Strong communication, negotiation, and client management skills
  • High standards of integrity, accountability, and professionalism

Key Responsibilities:

  • Conduct legal research, analysis, and due diligence for corporate transactions and commercial matters
  • Draft, review, and negotiate shareholders’ agreements, investment agreements, transaction documents, board resolutions, legal opinions, advisory memoranda, term sheets, SSAs, and SHAs
  • Lead and execute Private Equity, Venture Capital funding rounds, M&A transactions, and corporate reorganisations
  • Advise clients on regulatory compliance, corporate governance, Companies Act, SEBI regulations, and other applicable laws
  • Independently manage complex corporate and commercial transactions from inception to completion
